1. General

1.1. These terms and conditions (hereinafter referred to as “T&C”) constitute a proposal of Getvip LLC, Georgia, Tskaltubo Municipality, Tskaltubo 14, 4 (hereinafter referred to as “GetVIP”; the terms “we”, “our”, “us” apply to GetVIP), to an Internet user (hereinafter referred to as the “User”) to use the GetVIP platform available on the website https://getvip.app and mobile application, which allows the User to order passenger and freight transport services from GetVIP partners (hereinafter referred to as the “Drivers”) using luxury, business and premium comfort class vehicles (hereinafter referred to as the “Platform”).
An iOS or Android device is required to install the App. The operating system requirements for the proper functioning of the App are specified in the App Store and Google Play system requirements.
1.2. The User’s use of the Platform is subject to these T&C, as well as:

• our Privacy Policy, which explains how we may collect and use your personal data (____________________________);
• our Cookie Policy, which contains information about cookies on our website and the App (_______________________________).

1.3. By accessing and using the Platform, the User agrees to be bound in full and without reservation by these T&C and the documents referred to in paragraph 1.2 above. If the User does not agree with any of the T&C and/or documents, the User may not use the Platform.
1.4. These T&C apply to the User's use of the Platform, regardless of whether the User is using it:

• in his/her own name for personal purposes; or
• on behalf of a legal entity

If the User is using the Platform on behalf of a legal entity:

• his/her acceptance of these T&C shall be deemed acceptance on behalf of the legal entity, which shall be bound by them as if it had accepted the T&C itself;
• the User confirms that he/she is authorised to accept these T&C on behalf of the legal entity.

1.5. The Platform provides the User with a free opportunity to place information about the User's potential request for passenger and freight transport services, as well as the opportunity to view information about offers of companies providing such services (hereinafter referred to as the “Platform Partners”) and to search for such offers according to the parameters specified by the User. All currently existing functions of the Platform, as well as their development or the addition of new functions, are subject to these T&C.
1.6. By using the Platform, the User agrees to receive advertising content. To stop receiving advertising content, the User may use the corresponding feature of the Platform or follow the instructions provided in the advertising content received.
1.7. By using the Platform, the User authorises GetVIP to collect the opinions and feedback of Users on the Platform for statistical purposes, to monitor the quality of the services provided and to use the anonymised data collected for the operation of the Platform. The Users may be interviewed by telephone or by e-mail to the contact details provided by the User in his/her account.
1.8. GetVIP does not guarantee that the Platform will always be available or provided without interruption. GetVIP does not guarantee that the Platform will always be available or provided without interruption. GetVIP may temporarily or permanently restrict the User's access to the Platform without giving any reason, including in the event that the User violates these T&C or an order of an authorised body, causes damage to GetVIP or third parties (as well as to stop such actions), creates a danger for others, protects the rights and legitimate interests of GetVIP and third parties, receives repeated complaints about the actions of the User or persons in respect of whom the User provides information about the potential request for transport services via the Platform. GetVIP will endeavour to notify the User of the suspension or revocation within a reasonable time, but may suspend or terminate the services without notice if:

• the User (the person authorised to use your account) breaches these T&C;
• it is not reasonable for GetVIP to give such notice under the circumstances, or if a delay in such suspension or revocation would expose GetVIP or a third party to a risk of harm or damage.

1.9. GetVIP may modify these T&C from time to time. These modifications will be effective from the date of their publication on the website and/or in the App. Continued use of the Platform by the User shall be deemed to constitute acceptance of the amended T&C.

2. Use of the Platform

2.1. Use of the Platform begins when the User creates an account. In order to create an account, the User must provide his/her name, email address and mobile phone number.
The User's mobile phone number will be linked to the User's account and added to the GetVIP database. If the User no longer uses his/her mobile phone number, he/she must inform GetVIP and provide a new mobile phone number to be linked to his/her account, otherwise GetVIP is entitled to block the User's account. In the event of failure to notify, GetVIP shall not be liable if the mobile network operator issues the same mobile phone number to a new person and this person is able to access your data while using the Platform.
By creating an account, the user confirms that:

• He/she will not provide false information;
• He/she will keep the contact details accurate and up to date;
• He/she will not disclose his/her access data (except when using the Platform on behalf of a legal entity).

The User may not assign or otherwise transfer the rights and obligations under these T&C or his/her account to any other person without the prior written consent of GetVIP.
GetVIP may refuse to register the User's account for any reason at its sole discretion.
2.2. The Platform is provided to the User for non-commercial use.
2.3. GetVIP provides Users with access to the Platform to obtain information about Drivers who are willing and available to provide passenger and freight transport services to the requesting User.
By accepting these Terms and Conditions, the User acknowledges and agrees that GetVIP only acts as an agent on behalf of the Driver by providing access to transport orders through the App, while the Driver services are provided solely by the Driver. GetVIP is not and will not be considered as a party to any passenger or freight transport services contract and will not be responsible in any way for the fulfilment of the contract concluded between the User and the Driver. Disputes arising from consumer rights, legal obligations or legislation applicable to the transport services will be settled between the User and the Driver.
The User enters into a contract with the Driver for the provision of passenger and freight transport services via the app.
GetVIP is not responsible for the information provided by the Drivers, including information about their current availability, for financial and any other transactions carried out by the User or the Driver, as well as for any consequences of the User's purchase of the Driver services.
2.4. The User can place an order for the Driver services via the App, whereby placing an order means that the User has sent an offer to purchase the Driver services. Placing an order does not necessarily mean that it will be accepted. GetVIP is not liable if the User's order is not accepted, as the acceptance of the order is at the discretion of the Driver.
Upon acceptance of the order by the Driver, the contract between the User and the Driver for the provision of passenger and freight transport services shall be deemed concluded.
If the User cancels the contract with the Driver, the transport fee/cancellation fee is payable in accordance with these T&C.
If the Driver notifies the User about the arrival of the vehicle at the pick-up location and the User or the persons for whom the User places the order do not reach the vehicle within 10 minutes (prepaid wait time) and 10 minutes after the specified time (paid wait time), the order is considered cancelled. GetVIP cannot be held responsible for such situations.
2.5. Passenger and freight transport services under Business, Premium and other tariffs are provided by vehicles of different classes. The vehicle is assigned to a particular class according to its characteristics.
2.6. The User authorises GetVIP to process the personal data of the User or of the person in respect of whom the User provides information on the potential request for services via the Platform.
2.7. The User may have access to functions for rating the services of Drivers and posting comments/feedback on the Platform. The User's ratings and feedback will be published on the Platform's website and may also be available on third party websites. GetVIP may refuse to post comments/feedback, as well as delete/block the comments/feedback posted by the User at any time at its sole discretion.

4. End User License Agreement

4.1 As long as the User complies with these T&C, GetVIP grants the User a non-exclusive, royalty-free, revocable, non-transferable licence, valid in all countries of the world, with the right to access and use the GetVIP application in accordance with these T&C and the documents referred to in paragraph 1.2 of these T&C. The User may not transfer or sub-licence the right to use the GetVIP app. If the User's right to use the GetVIP app is terminated, the corresponding non-exclusive licence shall also be terminated.


5. Requirements for the Behaviour of the User (Passenger) in the Provision of Passenger and Freight Transport Services

5.1. By agreeing to these Terms and Conditions, the User warrants that he/she and/or the passengers for whom the User places the order will comply with the following rules and recommendations:

• No more than four (4) passengers may be carried in a vehicle (or more than three (3) passengers in a Mercedes-Maybach or more than eight (8) passengers in a V-Class);
• No smoking in the vehicle;
• No littering, eating or spilling liquids in the vehicle;
• Do not distract the Driver from driving;
• Do not create emergency situations in the process of providing services;
• The User must give the Driver the exact address of the journey;
• Do not insist that the Driver breaks traffic rules.

5.2 The User will be responsible for the cost of repairing or cleaning the Driver's vehicles if the need for such cost arises as a result of the provision of the Driver's services and the amount of the cost exceeds the normal cost of repairing the damage and necessary cleaning. In the event that the Driver communicates the need for repair or cleaning by providing GetVIP and the User with photo or video evidence of the damage or contamination, and such request is confirmed at GetVIP's reasonable discretion, GetVIP reserves the right to recover the cost of such repair or cleaning services on behalf of the Driver using the payment method specified in the User's account. These amounts will be transferred by GetVIP to the Driver and will not be refunded.

6.Fees and Payment
6.1. The User pays GetVIP for the services provided by the Driver:

• Transport Fee and Cancellation Fee according to the rates published on ______________________________;
• Reimbursement of costs incurred by the Driver in the event that the User and/or the passengers for whom the User places the order violate the rules and recommendations set out in section 5 of these T&C, if such violations cause damage to the vehicle.

The rates applicable to Driver services are subject to change. It is the User's responsibility to check the current rates when placing an order.
6.2. The Driver services provided to the User in accordance with the order placed by the User through the Platform may be paid for in the following ways:

• In cash directly to the Driver by the User or the person for whom the User places the order. This type of payment is made without the involvement of GetVIP and is not regulated by these T&C.
• By bank card linked to the User's account. In this case, GetVIP acts on behalf of the Driver through an authorised payment service provider and is the beneficiary of the payment as the Driver's agent. Once the Driver services have been provided to the User, GetVIP will ensure that the services and expenses are paid to the Driver on behalf of the User. The fee is inclusive of all applicable taxes and is non-refundable.

Part of the cost of the Driver services is payable before the start of the transport (the cost of the arrival of the vehicle at the address (location) specified by the User when placing the order on the Platform, as well as the first 10 minutes of waiting), the remaining part (with recalculation of the time of provision of the service and/or the distance of the transport) is payable after the provision of the service by the Driver.
The appropriate method of payment is selected by the User on the Platform.
If the User chooses to pay by bank transfer, it is not allowed to pay the Driver in cash or in any other way without additional notification to GetVIP by changing the payment method on the Platform. If, for any reason (hardware problem, lack of funds on the linked bank card, etc.), the chosen method of payment cannot be used, the User undertakes to ensure that there are sufficient funds on the linked bank card to settle the outstanding payment for the Driver services as soon as possible, or to change the method of payment and pay the Driver in cash.
In the case of bank transfer, the User has the option to make an additional bank transfer payment in favour of GetVIP, at his/her discretion, as a percentage of the cost of the paid service (tip), together with the payment for the Driver service.
After payment, the transaction receipt will be sent to the confirmed email address provided by the User when using the Platform and will be accessible by the User in the app.
Payment shall be made in the national currency of Georgia (Georgian lari).
6.3. The User may specify a linked bank card on the Platform by providing the following data:

• Bank card number
• Expiration date
• Security code

If the bank card details are true and valid and the card is technically usable within the Platform, the bank card specified will acquire the status of a linked card and can be used for bank transfer payments.
The User may link several bank cards to the account and select the preferred card when placing an order. If it is not possible to withdraw funds from the preferred card, any other card linked to the User's account will be debited.

6.4. GetVIP reserves the right to request pre-authorisation of the User's bank card in order to ensure that the User has sufficient funds to pay for the services.
6.5. Please note that GetVIP does not store bank card details and is not responsible for the security and confidentiality of the data transmitted when payments are made by bank transfer. The bank transfer is carried out by the User with the participation of an authorised payment service provider and is subject to the rules of international payment systems, banks (including the issuing bank of the linked card) and other settlement participants.
6.6. The User agrees that all actions performed within the Platform using the mobile phone number confirmed by the User, including bank transfer payments using the linked bank card, shall be deemed to have been performed by the User.
